These Terms of Service govern your access to and use of the AeroPrep website, web application, mobile applications, question banks, school portal, and related services (together, the "Services").

1. Who We Are

AeroPrep is a digital learning platform for aviation theory exam preparation, including EASA PPL question practice, exam simulation, progress tracking, and related school and instructor tools. References to "AeroPrep", "we", "us", and "our" mean NEXIEL LIMITED t/a AeroPrep.

2. Acceptance of These Terms

By creating an account, accessing the Services, purchasing a plan, or using any part of AeroPrep, you agree to be bound by these Terms, our Privacy Policy, and our Refund Policy. If you do not agree, you must not use the Services.

If you are using AeroPrep on behalf of a flight school, approved training organisation, DTO, instructor group, or other entity, you confirm that you have authority to bind that organisation to these Terms.

3. Eligibility

You must be at least 16 years old, or the minimum age required under the laws applicable to you, to create an account unless your account is created and managed by a school or legal guardian with authority to do so. If you are under the age of majority in your jurisdiction, you may use the Services only with appropriate consent or authorisation.

You must provide accurate registration information and keep your account details up to date.

4. What AeroPrep Provides

AeroPrep provides digital educational tools, including:

  • Subject-based question banks
  • Study mode and exam simulation mode
  • Performance tracking and analytics
  • Bookmarking, reporting, and revision tools
  • School and instructor dashboards
  • Administrative and billing features

AeroPrep is an independent preparation platform. It is not affiliated with, endorsed by, or approved by EASA, any national aviation authority, or any flight school unless explicitly stated.

AeroPrep is designed to support exam preparation, not to guarantee any exam result, licence issue, school acceptance, or training outcome.

5. Account Registration and Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must not:

  • Share your password
  • Allow multiple unrelated persons to use one account
  • Attempt to circumvent device or session limits
  • Use another person's account without permission

We may apply device/session controls, abnormal usage monitoring, and account-sharing detection measures to protect the platform and question bank. We may suspend, restrict, or terminate access where we reasonably suspect abuse, fraud, scraping, content extraction, or account sharing.

6. Plans, Billing, and Access

AeroPrep offers fixed-duration digital access plans. Plan details, pricing, access scope, and duration are displayed on our website at the time of purchase.

Unless expressly stated otherwise:

  • Plans are one-time purchases for a fixed access period
  • Plans do not auto-renew
  • Access starts when payment is successfully confirmed
  • Access expires automatically at the end of the plan period

We use third-party payment providers, including Stripe. By making a purchase, you agree to the relevant payment provider's terms as well as ours.

7. Digital Content and Refunds

AeroPrep supplies digital content and digital services that are delivered immediately after purchase. By completing checkout and requesting immediate access, you acknowledge that your statutory cancellation or withdrawal rights may be reduced or waived to the extent permitted by applicable law.

Refunds are governed by our separate Refund Policy, which forms part of these Terms.

8. Licence and Permitted Use

Subject to these Terms and any active plan, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your personal educational use, or for your organisation's internal training use where you are a school customer.

You may not:

  • Copy, reproduce, republish, sell, sublicense, or redistribute question content
  • Build a competing database, app, or service using our content or platform outputs
  • Scrape, harvest, export, mirror, or bulk-download content
  • Reverse engineer or attempt to extract source code, hidden data structures, or question banks
  • Circumvent technical protections, rate limits, or access restrictions
  • Use bots, scripts, automated browsers, or other automation to access question content
  • Use the Services in any unlawful or fraudulent way

All rights not expressly granted are reserved by NEXIEL LIMITED t/a AeroPrep.

9. Intellectual Property

The Services, including software, design, branding, interfaces, text, graphics, databases, analytics, and platform structure, are owned by or licensed to NEXIEL LIMITED t/a AeroPrep and protected by intellectual property laws.

You retain ownership of content you submit to us, such as support messages or question reports, but you grant us a non-exclusive, worldwide, royalty-free licence to use that content for operating, improving, and supporting the Services.

10. Question Content and Accuracy

We aim to maintain accurate, high-quality, and current preparation content. However:

  • Question wording may change over time
  • Regulatory content may be updated by authorities
  • Some content may be adapted, summarised, reformatted, or independently written
  • Practice performance does not guarantee formal exam performance

If you identify a question that appears inaccurate, outdated, or ambiguous, you may report it through the platform or by contacting support@aeroprep.eu.

11. User Conduct

You agree not to:

  • Interfere with the operation or security of the Services
  • Upload malicious code or harmful content
  • Attempt unauthorised access to systems or accounts
  • Harass, abuse, threaten, or impersonate others
  • Use the Services to infringe another party's rights
  • Submit false school registrations or fake student identities

We may investigate misuse and cooperate with law enforcement or regulators where required.

12. Suspension and Termination

We may suspend or terminate your access immediately where:

  • You materially breach these Terms
  • We detect fraud, scraping, account sharing, or abusive behaviour
  • Payment is reversed, disputed, or charged back improperly
  • Continued access creates legal, operational, or security risk

You may stop using the Services at any time.

If your account is terminated for breach, you are not entitled to compensation or refund except where required by law.

13. Service Availability and Changes

We aim to provide a reliable service, but we do not guarantee uninterrupted availability. We may:

  • Modify or improve features
  • Add or remove features
  • Perform maintenance
  • Update content
  • Suspend access temporarily for security or operational reasons

Where practical, we will provide notice of significant planned downtime.

14. Beta Features and Future Features

We may release beta, preview, or early-access features from time to time. These may be incomplete, changed, or discontinued without notice.

Any references to future features, including ATPL content, airline assessment preparation, or expanded school tooling, are indicative only and do not create a binding obligation to deliver them on any timeline.

15. School and Institutional Terms

This section applies where a school, ATO, DTO, instructor organisation, or other institution purchases or manages access to AeroPrep.

15.1 School Accounts

A school account allows an authorised organisation to manage student access, instructor roles, assigned exams, analytics, and related educational workflows.

The school is responsible for:

  • Ensuring it has the right to provide student and instructor data to us
  • Ensuring its users are authorised to use the Services
  • Managing invite lists, permissions, and internal compliance
  • Using the Services only for legitimate educational and operational purposes

15.2 Roles and Permissions

School administrators are responsible for assigning appropriate user roles and controlling access within their organisation. The school is liable for activity carried out through its administrator and instructor accounts.

15.3 School Billing

School pricing, bulk licensing, invoicing, payment terms, and renewal structure may be set out in the order form, checkout flow, invoice, or separate commercial agreement. In the event of conflict, the signed order form or written commercial agreement prevails over general website pricing.

15.4 Student Data

Where a school provides access for students, the school may determine why and how certain student data is processed for school purposes, such as assigning access, monitoring progress, and reviewing readiness. In those circumstances, the school may act as controller and AeroPrep may process relevant data on the school's behalf under applicable data protection law.

For other processing, such as account security, fraud prevention, billing, product analytics, and legal compliance, AeroPrep may act as an independent controller. In some workflows, the parties' roles may differ depending on the facts.

15.5 Data Processing Terms

Where required by law, AeroPrep and the school will enter into or rely on a written data processing agreement covering controller instructions, security, subprocessors, breach support, and data subject rights assistance.

15.6 School Content and Records

The school remains responsible for the educational and regulatory decisions it makes using AeroPrep data, including student sign-off, internal assessments, and training records. AeroPrep provides tools and reports, but final academic, instructional, and regulatory judgments remain with the school.

16. Privacy and Data Protection

Our handling of personal data is described in our Privacy Policy. By using the Services, you acknowledge that we may process personal data as described there.

Where a school is involved, data protection roles may differ by processing activity. The labels used by the parties do not alone determine legal status; the actual purposes and means of processing matter.

17. Third-Party Services

The Services may integrate with third-party providers, including payment processors, cloud hosting, email delivery providers, analytics tools, storage providers, and authentication/security providers. We are not responsible for third-party services except to the extent required by law.

18. Disclaimers

To the fullest extent permitted by law:

  • The Services are provided on an "as is" and "as available" basis
  • We do not warrant that the Services will be uninterrupted, error-free, or perfectly current at all times
  • We do not guarantee any exam pass, course completion, job offer, licence issue, or training outcome
  • Nothing in these Terms excludes any consumer rights that cannot lawfully be excluded.

19. Limitation of Liability

To the fullest extent permitted by law:

  • We are not liable for indirect, incidental, special, consequential, or punitive losses
  • We are not liable for loss of profit, business, contracts, goodwill, opportunity, or anticipated savings
  • Our total liability for claims arising out of or related to the Services is limited to the amount you paid to us in the 12 months before the claim arose
  • This limitation does not apply to liability that cannot lawfully be limited, including liability for fraud, wilful misconduct, or death/personal injury caused by negligence where applicable law prohibits exclusion.

20. Indemnity

If you use the Services on behalf of an organisation, or if your breach of these Terms causes us loss, you agree to indemnify and hold harmless NEXIEL LIMITED t/a AeroPrep from resulting claims, liabilities, damages, and costs, except to the extent caused by our own breach or misconduct.

21. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will post the updated version on this page and update the "Last updated" date. Where appropriate, we may notify users by email or in-product notice.

Your continued use of the Services after the effective date of updated Terms constitutes acceptance of the revised Terms.

22. Governing Law and Jurisdiction

These Terms are governed by the laws of Ireland. The courts of Ireland will have exclusive jurisdiction, except where mandatory consumer protection law gives you the right to bring proceedings in your home jurisdiction.
